  1. Scope and how RideNow Business works

    1. These Terms govern the Company’s use of RideNow Business, the RideNow service that lets a company pay for Rides taken by Employees. They cover the Business Account, the Business Portal and the use of the Company Balance to pay for Rides.
    2. RideNow Business is a payment method only. The Company pays for Rides. It does not ride, rent or use the vehicles itself, and it does not become a party to any agreement between RideNow and a rider. Each Ride is provided to the Employee under the Rider Documents, in the same way as for any other RideNow user. These Terms do not replace or change the Rider Documents.
    3. If these Terms and the Rider Documents conflict, these Terms prevail on the Business Account, the Company Balance, Top-Ups, invoices and refunds. The Rider Documents prevail on everything else, including how a Ride is booked, used and priced, and the rider’s liability.
    4. These Terms describe RideNow Business as it works on the Effective Date. A function of the Business Portal that is not described in these Terms is not part of the service that RideNow promises.
    5. An Administrator links Employees to the Business Account using their phone numbers. Each Employee keeps and uses their own Personal Account. While an Employee is linked to the Business Account and is not suspended, RideNow charges the cost of the Employee’s Rides to the Company Balance, up to the Employee’s Monthly Limit. Anything above the Monthly Limit is charged as described in the section “Monthly Limit”.
  2. Registration and eligibility

    1. RideNow Business is available only to companies registered in Cyprus that hold a valid Cyprus VAT number.
    2. The person who registers confirms that they are authorised to bind the Company to these Terms and to act as an Administrator. The Company must provide accurate registration information and keep it, including its company address in the Business Portal, up to date.
    3. Access to the Business Portal is by a one-time SMS code, not by a password. The Company is responsible for keeping each Administrator’s phone and codes secure, and for everything done in the Business Account by anyone who uses a valid code. The Company must tell RideNow without delay if an Administrator’s phone is lost or misused, or if a person stops being authorised.
    4. RideNow may ask for further information or documents to verify the Company, its VAT number or the authority of an Administrator, and may refuse or close a registration if it is not satisfied.
  3. Administrators and Employees

    1. Only Administrators manage the Business Account in the Business Portal, including its details, Employees, Monthly Limits, corporate payment card and Top-Ups. An Administrator sets up Employees on behalf of the Company by entering their phone numbers. The Company is responsible for adding only people it intends to authorise, for having the right to share their phone numbers, and for telling them that RideNow will process their data as described in the section “Personal data”.
    2. An Employee rides with their Personal Account. The Personal Account belongs to the Employee, and RideNow’s agreement with the Employee under the Rider Documents is separate from these Terms. The Company does not acquire any right over a Personal Account. Whether a person may ride, including age, driving licence, identity checks and insurance eligibility, is decided under the Rider Documents on the Personal Account. Being linked to the Business Account does not guarantee that a person can ride. A decision by RideNow about a Personal Account under the Rider Documents is not a breach of these Terms.
    3. Each Employee must keep a valid personal payment card on their Personal Account. This is needed because the Monthly Limit is not a hard cap and the Company Balance may not cover a charge. RideNow may prevent a Ride from starting if neither the Company Balance nor the Employee’s personal payment method can cover it.
    4. An Administrator may suspend or unlink an Employee at any time. Once the change has taken effect, Rides are no longer charged to the Company Balance. Charges already made to the Company Balance remain.
  4. Company Balance and Top-Ups

    1. RideNow Business is prepaid. The Company adds funds to the Company Balance by Top-Up, and Ride charges are taken from the Company Balance. RideNow does not give credit, and it does not offer payment of Rides by invoice after the fact. The Company chooses the Automatic Top-Up threshold and amount, and RideNow does not guarantee that the Company Balance will be sufficient at any time.
    2. To fund the Company Balance, an Administrator saves a payment card in the Business Portal and sets up Automatic Top-Up by choosing a threshold and a Top-Up amount. The card is processed by the Payment Provider under the Payment Provider’s own terms, and the Company confirms that it is entitled to use it. When the Company Balance falls below the threshold, RideNow charges the saved card for the Top-Up, including VAT. By setting up Automatic Top-Up, the Company authorises RideNow and the Payment Provider to make these charges until Automatic Top-Up is switched off. The Business Portal shows the minimum and maximum Top-Up amounts and the range of thresholds, and the Company must stay within them. RideNow may change them, and may require a short waiting period between Top-Ups to prevent duplicate payments.
    3. Each Top-Up is credited to the Company Balance, without VAT, once the Payment Provider confirms the payment.
    4. If a Top-Up payment fails or is reversed, for example because the card is declined, expired, blocked or has insufficient funds, it is treated like any other failed payment. The Company Balance is not credited, or RideNow may reduce it by the reversed amount. RideNow may try an Automatic Top-Up again from time to time. The Company bears any charges made by its own bank.
    5. The Company Balance is a prepayment for Ride charges under these Terms. It can be used only to pay for services provided through RideNow. It is not a bank deposit or a payment account, it does not earn interest, it cannot be withdrawn, and it cannot be transferred to anyone or used to pay third parties. It can be repaid to the Company only as set out in the section “Refund of unused balance”. Prepaid balances are not covered by any deposit guarantee scheme. RideNow is not a bank, payment institution or electronic money institution.
  5. Monthly Limit

    1. Each Employee has a Monthly Limit: the most that RideNow will charge to the Company Balance for that Employee’s Rides in a month. The Business Portal shows each Employee’s Monthly Limit and the amount charged to the Company for that Employee in the current month. An Administrator sets the Monthly Limit for each Employee in the Business Portal. Only Administrators can set or change a Monthly Limit. Until an Administrator sets a different Monthly Limit, the default Monthly Limit shown in the Business Portal applies.
    2. The Monthly Limit is not a hard cap on a Ride. When a charge would take an Employee above the Monthly Limit, the Company Balance covers the part up to the Monthly Limit, and the rest is charged to the Employee’s Personal Account, first to its balance and then to the Employee’s personal payment card. Once the Monthly Limit is reached, further charges in that month are charged to the Employee in the same way. If the Company Balance is lower than the amount to be charged within the Monthly Limit, the part the Company Balance cannot cover is charged to the Employee in the same way.
    3. The Company is not responsible for amounts charged to an Employee under this section. Those amounts are between RideNow and the Employee under the Rider Documents.
  6. Prices, VAT and invoices

    1. Ride charges are calculated under the Prices and Fines in force when the Ride takes place. Paying through the Business Account does not change the price of a Ride, unless RideNow and the Company expressly agree otherwise in writing. All amounts are in euro.
    2. VAT is charged at the rate set by law. When a Top-Up is paid by card, the card charge includes the VAT on the Top-Up. The Company Balance is kept without VAT: it is credited with the amount of a Top-Up without VAT, and Ride charges are deducted from it without VAT.
    3. For each completed month, the Business Portal makes an invoice available for download by Administrators. The invoice is issued to the Company for that month. It shows the month’s Ride charges, net of refunds, as a single line for transport services with VAT added at the rate set by law, and does not list individual Rides. It also includes a reconciliation of the Company Balance (opening balance, Top-Ups, Ride charges, other adjustments and closing balance), with the VAT shown separately. The invoice does not change the Company Balance.
    4. For each Ride, the Employee receives a document on the Personal Account under the Rider Documents. It shows the charge for the Ride and how it was paid, including any part paid from the Company Balance. Documents for individual Rides are not issued to the Company. The part of a Ride paid from the Company Balance is deducted from the Company Balance when the Ride is paid and is included in the monthly invoice. The Company is responsible for the accounting and tax treatment of the amounts it pays.
  7. Refund of unused balance

    1. The Company may ask for a refund of its unused Company Balance at any time by writing to info@ridenow.tech from the Administrator’s registered email address. RideNow processes the request without undue delay and refunds the amount to the card used for the Top-Ups. If that card is no longer available, RideNow may refund to a bank account in the Company’s name that the Company gives RideNow in writing.
    2. The refund is the unused Company Balance on the date RideNow processes the request, after deducting charges for Rides that are still in progress or not yet charged. RideNow will treat any VAT on the refunded amount as the law requires and will issue a credit note where one is required. RideNow may charge the Company for, and deduct from the refund, any payment and processing fees associated with the refund payment.
  8. Rides, damage, fines and insurance

    1. The Employee, as rider, is responsible to RideNow for each Ride. This includes complying with the law and the Rider Documents, paying fines and traffic and parking penalties, and liability for damage to the vehicle or to third parties as set out in the Rider Documents. The liability limits, protection options and insurance terms in force at the time of the Ride are set out in the Rider Documents and may change. These Terms do not repeat or change them.
    2. The Company is not liable to RideNow for any fine, penalty, damage, excess, insurer recourse or other amount arising from an Employee’s Ride, and RideNow will not claim any such amount from the Company, solely because the Company funded the Ride. These amounts are charged to the Employee. This does not affect the Company’s responsibility for its own obligations under these Terms.
    3. Paying for a Ride from the Company Balance does not change, extend or reduce the insurance or protection that applies to the Ride. These depend on the Rider Documents and on the Employee’s Personal Account.
    4. The Company may arrange its own insurance for its Employees as drivers. Any such insurance is between the Company and its insurer and is outside RideNow’s service. RideNow is not a party to it, does not check it and does not promise that it will respond.
  9. Liability

    1. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Cyprus law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
    2. Subject to that, RideNow is not liable to the Company for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
    3. RideNow’s total liability to the Company arising out of these Terms in any period of twelve months is limited to the total amount of Top-Ups the Company paid in the twelve months before the event giving rise to the claim. This limit does not apply to the Company Balance that RideNow must refund under the section “Refund of unused balance” or to amounts charged to the Company in error.
  10. Personal data

    1. RideNow processes personal data as described in the Privacy Policy and in accordance with applicable data-protection law, including Regulation (EU) 2016/679 (GDPR) and the applicable Cyprus legislation. RideNow acts as an independent controller of the personal data it processes for the Business Account and for Personal Accounts. RideNow does not process Employees’ ride data on behalf of the Company.
    2. Through the Business Portal, the Company can see its Company Balance and transaction history and, for each Employee, details such as the phone number, role, status, Monthly Limit and the amount charged to the Company in the current month. The Company must use this information only to administer its use of RideNow Business and must handle it in accordance with data-protection law.
  11. Availability and support

    1. As for all RideNow users, the availability of a vehicle at a particular time and place is not guaranteed. Paying through the Business Account does not give priority or a reserved vehicle.
    2. The Company can contact RideNow about the Business Account at info@ridenow.tech. Support for Rides and Personal Accounts is provided to the Employee under the Rider Documents through the channels in the RideNow app.
  12. Suspension and termination

    1. The Company may close its Business Account at any time by writing to info@ridenow.tech from the Administrator’s registered email address.
    2. RideNow may suspend or close the Business Account, or suspend any Employee’s link to it, with immediate effect if the Company breaches these Terms, if information provided is false or cannot be verified, if RideNow reasonably suspects fraud, misuse or unlawful activity, if Top-Ups repeatedly fail or are reversed, or if the law or an authority requires it. RideNow may also close the Business Account without giving a reason, or end RideNow Business generally, by giving the Company at least 30 days’ notice.
    3. When the Business Account is closed, all Employees are unlinked and Rides are no longer charged to the Company Balance. RideNow refunds the unused Company Balance as set out in the section “Refund of unused balance”. Personal Accounts are not affected and continue under the Rider Documents.
  13. Changes to these Terms

    1. RideNow may change these Terms, for example to reflect changes in the law, in the Business Portal or in its services.
    2. If the Company does not accept a change, it may close the Business Account and ask for a refund under the section “Refund of unused balance” before the change takes effect. If the Company continues to use the Business Account after the change takes effect, it accepts the change.
    3. The Rider Documents are changed as set out in them. Changes to them apply to Rides without notice under this section.
  14. General

    1. RideNow may give notices to the Company by email to the Administrator’s registered email address, by SMS to an Administrator’s phone number, or by a notice in the Business Portal. The Company must keep these details up to date. The Company may give notices to RideNow by email to info@ridenow.tech or by post to RideNow’s registered office stated at the top of these Terms.
    2. These Terms are the entire agreement between RideNow and the Company about RideNow Business. To the extent the law permits, they replace any earlier discussion, description or promise about it, including statements on the RideNow website.
    3. Employees are not parties to these Terms and have no rights under them. An Employee’s rights against RideNow under the Rider Documents or the law are not affected.
    4. The Company accepts these Terms electronically. RideNow’s electronic records of the acceptance and of actions taken in the Business Account are evidence of them, unless shown to be wrong.
    5. These Terms, and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the laws of the Republic of Cyprus. The courts of the Republic of Cyprus have exclusive jurisdiction over any such dispute or claim.
